1. Introduction and Applicability

These general terms and conditions apply to all use of the products, services, websites,
applications, and other digital platforms of The Synergy Healthcare B.V., trading under the
name Club Innate (hereinafter: "Club Innate," "we," "us," or "our"), regardless of where in the
world you are located.
1.2 Age Restriction and Consent
Our services are intended solely for users aged 18 and older. If you are under 18, you may
only use our services with the consent and under the supervision of a parent or legal guardian.
By using our services, you confirm that you are 18 years or older, or that you have obtained
parental consent.
1.3 Jurisdiction and International Scope
These terms apply globally. Where possible, Dutch law applies, taking into account:
the law of the consumer’s country of residence if that law is mandatorily applicable
(such as in the EU);
consumer protection laws under European legislation, where applicable (such as the
Consumer Rights Directive);
additional consumer rights under national laws outside the EU (such as the CCPA in
California, the ACL in Australia, etc.).
Our privacy policy regarding the processing of personal data complies with GDPR, CCPA,
LGPD, POPIA, and other international legislation.
2. Legal Basis and Agreement
2.1 Acceptance of Terms
By using Club Innate's products or services, via our website, app, customer portal, or
otherwise, you agree to these terms. If you do not agree, please refrain from using our
products or services.
2.2 Contractual Relationship
These terms constitute a binding agreement between you and The Synergy Healthcare B.V.,
trading under the name Club Innate, with registered office at Wapenrustlaan 11, 7321 DL
Apeldoorn, The Netherlands, registered at the Chamber of Commerce under number
78557674.2.3 Scope and Applicability
These terms apply to all offers, agreements, products, services, digital platforms, and other
activities of Club Innate, regardless of the country from which access is obtained or where the
user resides.
2.4 International Applicability and Local Laws
We aim for global legal compliance. If national legislation in your country provides more
favorable consumer protection than these terms, such national provisions prevail.
2.5 Privacy and Data Processing
By accepting these terms, you also acknowledge our privacy policy, which explains how we
handle your personal data in accordance with GDPR, CCPA/CPRA (USA), LGPD (Brazil),
PIPEDA (Canada), POPIA (South Africa), and other applicable regulations.
3. Modification of Terms
3.1 Right to Modify
Club Innate reserves the right to modify or supplement these terms at any time. Any changes
will be published on our website or via another digital channel and take effect upon
publication unless stated otherwise.
3.2 Notification to Users
For substantial changes affecting your rights or obligations, Club Innate will make reasonable
efforts to inform you, for example via email, push notifications, or announcements on the
website or in the app.
3.3 Implied Acceptance
If you continue to use Club Innate's services after the modified terms take effect, you are
deemed to have accepted them. If you do not agree with the modified terms, you must
immediately stop using our services.
3.4 Local Adjustment and Validity
If any provision of the modified terms is invalid or unlawful in a specific jurisdiction, the
remaining provisions remain in effect. In such cases, Club Innate may locally adjust the
relevant clause, as far as allowed by applicable law.
4. Use of Services and Code of Conduct
4.1 Permitted UseYou may use our products and services solely for personal, non-commercial purposes, unless
expressly agreed otherwise in writing. Any improper use, including (but not limited to)
unauthorized distribution, commercial reuse, or manipulation of the service, is prohibited.
4.2 User Responsibility
You are responsible for all use of your account, including any activity conducted through your
login credentials. You agree to provide accurate, current, and complete information and to
keep it up to date.
4.3 Prohibited Conduct
You agree to refrain from behavior that:
violates applicable laws and regulations;
infringes on the rights of others (including privacy, intellectual property, and
contractual rights);
damages or disrupts the functioning or security of our services;
attempts unauthorized access to our systems;
is fraudulent, misleading, or threatening.
4.4 Use by Minors
Use of our services by individuals under 18 is permitted only with the express consent of a
parent or legal guardian. The parent or guardian remains fully responsible for the actions of
the minor.
4.5 Technical Limitations and Disclaimer
Club Innate strives to provide continuous, secure, and uninterrupted access to its digital
services but does not guarantee availability at all times. Technical disruptions, maintenance,
or external influences (such as internet outages) may temporarily limit access. Club Innate is
not liable for such limitations unless caused by intent or gross negligence.
5. Account and Security
5.1 Account Registration
To access certain services of Club Innate, you may need to create a user account. You must
provide correct, complete, and current information. You may not use a false identity or
impersonate another person.
5.2 Confidentiality of Login Credentials
You are responsible for keeping your username and password confidential and for all activity
under your account. If you suspect your account is being misused, notify us immediately at
legal@clubinnate.com.
5.3 Misuse and TerminationClub Innate reserves the right to temporarily block or permanently terminate accounts in the
case of:
suspected misuse or fraud;
violation of these terms;
security risks to Club Innate or third parties.
5.4 Unauthorized Use
Sharing your account with third parties is not allowed. Logging into another user’s account or
accessing secured areas of our systems or services without permission is prohibited.
5.5 Updating Information
You are required to keep your account information current, especially if needed for contact,
billing, or service delivery. Incorrect or outdated information may result in suspended access.
6. Returns, Cancellations, and Subscriptions
6.1 Right of Withdrawal (for EU Consumers)
As a consumer, you have the right to withdraw from the contract within 14 days of receiving
the product or concluding the agreement without stating a reason, in accordance with EU
consumer law. For digital content, this only applies if you have not explicitly agreed to
immediate delivery and waived your right of withdrawal.
6.2 Return Conditions
If you exercise your right of withdrawal, you must return the product unused, undamaged, and
in its original packaging. You will receive a refund of the purchase price including any
standard shipping costs within 14 days after we have received the returned product.
6.3 Subscriptions and Automatic Renewal
When purchasing a subscription service, you will be clearly informed of:
the duration of the subscription;
the automatic renewal and cancellation terms;
the cancellation method.
If automatically renewed, your payment method will be charged again unless you cancel on
time. You may cancel your subscription via your account or in writing.
6.4 Cancellation and Termination
To avoid additional charges, cancellation of services must occur at least 3 days before the
next billing date. Late cancellations will still result in a charge for the upcoming period.
6.5 Return ExceptionsNo right of withdrawal applies for:
opened supplements or hygiene products;
digital products once delivery has started with your consent;
customized services or products.
6.6 International Return Policy
For customers outside the EU, the return policy is subject to local consumer law. Where local
legislation provides a broader right of withdrawal, it will be honored. Return shipping costs
from outside the EU are at the customer's expense unless agreed otherwise.
7. Intellectual Property
7.1 Ownership Rights
All intellectual property rights related to the products, services, texts, images, videos,
software, designs, trade names, logos, and other materials of Club Innate are the property of
Club Innate or its licensors and are protected by international copyright, trademark, and
database laws.
7.2 Use of Content
You may not, without prior written permission from Club Innate:
copy, distribute, publish, sell, or modify our content (in whole or in part);
use parts of our website, app, programs, or supplements for commercial purposes;
reverse-engineer, decompile, or otherwise modify our software.
7.3 Personal Use License
You are granted a limited, revocable, non-exclusive, non-transferable license to use our
services and content for personal, non-commercial purposes, provided you comply with these
terms.
7.4 User Generated Content
If you provide content through reviews, messages, or social media, you grant Club Innate a
free, worldwide, non-exclusive license to use, share, or adapt this content for promotional or
informational purposes, in accordance with our privacy policy.
7.5 Infringement and Enforcement
Club Innate will take appropriate legal action in case of infringement on its intellectual
property, including claiming damages and/or initiating legal proceedings in the Netherlands or
the relevant jurisdiction.
8. Health Disclaimers and Liability
8.1 No Medical Advice
The products, programs, advice, supplements, and other services offered by Club Innate are
intended solely for informational and educational purposes. They do not replace medical
advice, diagnosis, or treatment by a qualified physician or healthcare provider. Always
consult a doctor before starting any new diet, supplement, or exercise program—especially if
you are pregnant, ill, or using medication.
8.2 Use at Your Own Risk
Use of our products and services is entirely at your own risk. You acknowledge that physical
activity, dietary changes, and supplement use involve risks such as injury, allergies, or other
complications. Club Innate accepts no liability for damage resulting from the use of its
services unless caused by intent or gross negligence on our part.
8.3 Product Information and Claims
While Club Innate strives for accurate and current product information, errors or inaccuracies
may occur. Health claims on packaging or online are subject to regulations that vary by
country and are only used if legally permitted.
8.4 Results May Vary
Individual results may vary. Club Innate does not guarantee achievement of specific health
goals, weight loss, or performance improvements. Success stories are illustrative and not a
guarantee of future results.
8.5 Local Regulations
Club Innate complies with applicable laws and regulations in its operating markets. In
countries with additional product warnings or restrictions (e.g., the US, Canada, Australia),
these are applied locally. As a user, you are responsible for checking applicable laws and
regulations in your region.
8.6 Limitation of Liability
To the extent permitted by law, Club Innate excludes any direct or indirect liability for
damage resulting from:
use or inability to use the services;
reliance on third-party information via our platform;
temporary unavailability of the platform;
errors in product information or deliveries.
9. Dispute Resolution and Applicable Law
9.1 Governing LawAll legal relationships with Club Innate are preferably governed by Dutch law, unless
mandatory law provides otherwise. For consumers within the European Union, additional
mandatory consumer rights under EU regulations apply.
9.2 Jurisdiction and Competent Court
Disputes with business customers shall, unless otherwise required, be submitted exclusively to
the competent court in Amsterdam, the Netherlands. Consumers within the EU may bring
disputes before the court in their place of residence, if required by mandatory consumer law.
9.3 Online Dispute Platform (EU)
Consumers in the EU may also use the European Commission's Online Dispute Resolution
(ODR) platform at: https://ec.europa.eu/consumers/odr
9.4 Alternative Dispute Resolution Outside the EU
For consumers outside the EU, local legal obligations regarding dispute resolution apply.
Club Innate strives to promote amicable dispute resolution via mediation or arbitration, where
required by local law.
9.5 Exclusion of Class Actions
To the extent permitted by applicable law, the parties waive the right to bring collective
actions (class actions) or arbitration proceedings on behalf of groups. All claims must be
submitted individually.
9.6 Limitation of Claims
Any claim against Club Innate expires if not submitted in writing within one year after the
cause arises, unless applicable mandatory law prescribes a longer period.
9.7 Local Adjustments
If any provision in this section is unenforceable in a specific jurisdiction, the remainder
remains valid. An alternative dispute resolution procedure may apply for that jurisdiction in
accordance with local legal requirements.
10. Indemnification and Force Majeure
10.1 User Indemnification
You agree to indemnify, defend, and hold harmless Club Innate, its employees, directors,
partners, suppliers, and affiliates from any claims, liabilities, losses, costs, or damages
(including reasonable legal fees) arising from:
your use of our services or products in violation of these terms or applicable law;
infringement of third-party rights (such as intellectual property);
inaccurate or misleading information you provide; breach of any obligation to Club Innate or other users.
10.2 Limitation of Liability
To the extent permitted by law, Club Innate is not liable for indirect damages, consequential
damages, lost profits, data loss, or reputational damage resulting from the use or inability to
use its services or products.
Club Innate’s total liability is in any case limited to the amount you paid in the three months
preceding the incident that caused the damage, unless there is intent or gross negligence.
10.3 Force Majeure
Club Innate is not obliged to fulfill any obligation if it is prevented from doing so due to
circumstances beyond its reasonable control, including but not limited to:
natural disasters;
war, riots, or other civil unrest;
government actions;
pandemics;
internet outages or hosting provider failures;
labor disputes at third parties or suppliers.
11. Pricing, Payment, and Billing
11.1 Prices and Currency
All prices on our platforms are stated in euros (EUR), unless indicated otherwise. For
international users, conversion rates or local currencies may apply as displayed during
checkout.
11.2 VAT and Local Taxes
Prices include VAT where required by law. For orders outside the EU, additional import
duties or taxes may apply, which are the responsibility of the customer.
11.3 Payment Methods
Club Innate accepts major payment methods including credit card, debit card, PayPal, SEPA
bank transfer, and other locally supported options. Payment must be completed before
delivery of the product or service unless otherwise agreed.
11.4 Invoicing and Administration
Invoices are issued digitally unless paper invoicing is legally required. For subscription
services, invoices are generated per billing cycle.
11.5 Failed or Reversed PaymentsIf a payment fails or is reversed (e.g., due to insufficient funds or chargebacks), access to
services may be suspended until the outstanding amount is paid. Any fees related to collection
are borne by the customer.
11.6 Payment Disputes
If you believe you were incorrectly charged, you must notify us in writing within 14 days of
the billing date. Disputes will be reviewed, and any valid overcharges refunded within 14
days.
12. Promotions and Discount Codes
12.1 Use of Promotions
Promotions, discount codes, and other temporary offers are valid for the period specified and
under the stated conditions. They are not redeemable for cash or transferable unless explicitly
stated.
12.2 Abuse and Revocation
If Club Innate suspects abuse or manipulation of promotional offers, it reserves the right to
cancel the discount and suspend access.
12.3 Combinability
Promotions cannot be combined unless explicitly permitted. If multiple promotions apply,
Club Innate may determine which one takes precedence.
13. Communication and Digital Contact

You agree that all communication with Club Innate may take place digitally, including
agreements, confirmations, and notifications.
13.2 Marketing Messages
If you consent, Club Innate may send you newsletters and offers by email, SMS, or push
notification. You may unsubscribe at any time via the provided link or account settings.

Important service communications (e.g., security alerts, changes to terms) will be sent even if
you have unsubscribed from marketing.
13.4 LanguageOur services and communication may be provided in English or Dutch. Where possible, we
aim to support the local language of the user.

In case of a data breach, Club Innate will inform affected users and the competent supervisory

16. Termination of Agreement

You may terminate your agreement with Club Innate at any time by canceling your

Club Innate may terminate access if:
the user violates these terms;
there is misuse, fraud, or illegal activity;
services are discontinued or legally restricted.
16.3 Consequences of Termination
Upon termination, your license to use our services ends immediately. Access to your account,
stored data, and services will be revoked. Club Innate is not obliged to retain your data unless
required by law.
17. Transfer and Third Parties

Club Innate may transfer its rights and obligations to another entity in the context of a merger,

18.4 Local Regulatory Compliance

19.2 No Guarantee of Results
Results may vary depending on personal circumstances. Club Innate does not guarantee
success, health outcomes, or transformation through its programs.
19.3 Respect and Conduct
Participants must behave respectfully during live sessions or online communities. Club Innate
may exclude disruptive users without a refund.
19.4 Intellectual Property
Educational materials remain the intellectual property of Club Innate and may not be shared,
copied, or resold without written permission.

that provision or the right to enforce it at a later time.
22. Entire Agreement

These terms constitute the entire agreement between you and Club Innate regarding the use of
our services, superseding any prior agreements, communications, or representations, unless
otherwise agreed in writing.
22.2 No Verbal Agreements
Any deviation from these terms must be made in writing and signed by both parties. Verbal
agreements are not binding unless confirmed in writing.

language versions, the Dutch version shall prevail unless otherwise mandated by law.

singular includes the plural and vice versa.

Suppliers must uphold internationally recognized human rights, including:

Suppliers shall minimize their environmental footprint and comply with environmental

25.4 Integrity and Anti-Corruption
Bribery, corruption, extortion, and embezzlement are strictly prohibited. Suppliers must

their operations and supply chains are free from slavery, servitude, forced or compulsory

Suppliers and third parties may report concerns or suspected violations confidentially via
